1. Program Overview
The VozClinic Affiliate Program pays you 20% of the monthly net revenue from every clinic you refer, for as long as that clinic remains an active VozClinic customer. There is no cap on how many clinics you can refer and no cap on total earnings. You do not need to be a clinic, a VozClinic customer, or a business in the healthcare industry to participate.
2. Definitions
- Affiliate: an individual or entity accepted into the Program that refers prospective clinics to VozClinic.
- Referred Clinic: a clinic that (a) was registered by the Affiliate under Section 4 before becoming a VozClinic customer, and (b) signs up for a paid VozClinic plan within 90 days of registration.
- Net Revenue: subscription fees actually collected by VozClinic from a Referred Clinic, minus discounts, credits, refunds, chargebacks, payment-processing adjustments, and any sales or value-added taxes. One-time fees, hardware, and pass-through costs are excluded.
- Maturation Period: the first 60 days of paid service by a Referred Clinic, measured from the clinic's first day of paid service. Free or promotional months do not start or count toward the Maturation Period.
- Commission: 20% of Net Revenue attributable to a Referred Clinic in a given calendar month.
3. Eligibility
The Program is open to individuals 18 or older and to legal entities, in the United States, Mexico, or elsewhere, subject to applicable law. You do not need to use VozClinic services to participate. The following are not eligible for Commission:
- VozClinic employees and contractors, and their immediate family members.
- Self-referrals: a clinic (or its owners) cannot act as the Affiliate for its own subscription.
- Referrals of clinics already in active discussions with VozClinic, or already registered by another Affiliate (first valid registration wins).
If you work at or with a clinic you plan to refer, you must disclose your affiliate relationship to that clinic before making the referral.
4. How Referrals Are Registered
Register before you introduce. Submit the clinic's name, city, and a contact (or a warm-intro email copying affiliate@vozclinic.com) before or at the moment of introduction. VozClinic will confirm or decline the registration in writing within 5 business days.
- A registration is valid for 90 days. If the clinic subscribes within that window, it becomes your Referred Clinic.
- If two Affiliates claim the same clinic, the first valid registration on record controls.
- VozClinic may decline a registration where a prior relationship with the clinic already exists; declined registrations are communicated with a reason.
5. Commission
Rate and duration. You earn 20% of Net Revenue from each Referred Clinic every month, for the life of that clinic's continuously active service — including plan upgrades and downgrades. If a clinic cancels and later returns more than 90 days after cancellation, the returning subscription is treated as a new sale and is not automatically re-attributed.
Applicable plans. All published VozClinic plans are commissionable. Custom and White-label engagements are commissionable at 20% of the negotiated recurring subscription fee unless a different written arrangement is agreed before signing.
Free months. Months in which the clinic pays nothing (e.g., promotional free months) generate no Commission, because Commission is a share of revenue actually collected.
6. Maturation, Payout Schedule, and Method
- Maturation. Commissions accrue from the clinic's first paid month but become payable only after the clinic completes the 60-day Maturation Period. If the clinic cancels or is refunded during the Maturation Period, accrued Commissions are void.
- Schedule. Payable Commissions are paid monthly, within 15 days after the end of each calendar month.
- Minimum threshold. Balances under USD $50 roll over to the following month.
- Method. PayPal or bank transfer (US ACH, Mexican SPEI, or international wire). PayPal and international wire fees are deducted from the payout; ACH and SPEI are fee-free to the Affiliate.
- Currency. Commissions are calculated in USD. Where the clinic pays in MXN, Net Revenue is converted to USD at the rate applied by VozClinic's payment processor on the date of collection. Payouts in MXN are converted at the same processor rate on the payout date.
7. Adjustments and Clawbacks
If a Referred Clinic's payment is refunded, disputed, or charged back after a Commission on it was paid, the corresponding Commission is deducted from your next payout(s). Commission is only ever due on revenue VozClinic actually keeps.
8. Affiliate Conduct
To stay in the Program you agree to:
- Represent VozClinic accurately — no invented features, pricing, guarantees of results, or medical claims.
- No spam. Outreach must comply with applicable law (CAN-SPAM, LFPDPPP, and telemarketing rules).
- Disclose your affiliate relationship where required (e.g., FTC endorsement rules for public content).
- Do not bid on "VozClinic" or confusingly similar terms in paid search, and do not register domains or social handles using the VozClinic name.
- Keep non-public information about VozClinic and Referred Clinics confidential.
9. Term, Termination, and Program Changes
- Either party may end participation at any time with written notice.
- If you leave or are terminated without cause, you continue to receive Commission on your existing Referred Clinics for the life of their service. The lifetime promise survives ordinary termination.
- Termination for cause (fraud, material breach of Section 8, self-referral schemes) forfeits unpaid and future Commissions.
- Program changes (rates, rules) apply prospectively to clinics referred after the change. Clinics already referred keep the terms in force when they were referred.
10. Taxes
Affiliates are independent contractors, responsible for their own taxes. Before the first payout: US persons submit a Form W-9 (VozClinic issues Form 1099-NEC where payments reach USD $600 in a calendar year); non-US persons submit a Form W-8BEN or W-8BEN-E. Mexican-resident affiliates invoicing a Mexican entity may be asked for a CFDI instead, depending on the paying entity.
11. General
Participation does not create employment, partnership, or agency. The Program is non-exclusive for both sides. These Terms are governed by the Affiliate Agreement you sign, which controls if the two conflict.
Language. These Terms are published in Spanish and English. The Spanish version is the official, controlling version; in case of any discrepancy between the two, the Spanish text prevails. The English version is provided as a courtesy translation only.
